1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Reportr ("Reportr," "we," "us," or "our") governing your access to and use of the Reportr platform, website (reportr.ai), and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You will comply with these Terms and all applicable laws and regulations
- If using the Service on behalf of an organization, you have the authority to bind that organization to these Terms
3. Service Description
Reportr provides an AI-powered platform that transforms client meetings and consultations into professional, regulation-ready reports for financial advisors and other regulated services professionals. Our Service includes:
- AI-powered meeting recording (via Recall.ai integration with Zoom/Microsoft Teams)
- Automated transcription using AI (OpenAI Whisper)
- Automated generation of financial advisory documentation using AI (OpenAI GPT models)
- Template-based report creation (basic and wizard templates)
- Unified client record management (aggregating meetings, transcripts, and documents)
- Document export (PDF and DOCX formats)
- Email distribution of reports to clients
- Secure document storage and management
- Calendar integration (Google Calendar, Microsoft 365)
- Single Sign-On (SSO) authentication via Google and Microsoft
4. Account Registration and Security
4.1 Account Creation
To access certain features of the Service, you must create a Reportr account. You may register using:
- Email and password
- Google Single Sign-On (SSO)
- Microsoft Single Sign-On (SSO)
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring the accuracy and completeness of your account information
4.3 Account Restrictions
You may not:
- Share your account credentials with others
- Create multiple accounts for fraudulent purposes
- Use another person's account without permission
- Transfer your account to another party without our written consent
5. Subscription Plans and Pricing
5.1 Subscription Tiers
Reportr offers multiple subscription tiers:
- Free Tier: Limited usage (1 document per day) with basic features
- Starter Plan: Usage-based pricing with enhanced features and priority support
- Professional Plan: Unlimited documents with priority support
- Enterprise Plan: Custom pricing with white-label options
5.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law or as explicitly stated
- We reserve the right to modify pricing with 30 days' notice to existing subscribers
- Prices do not include applicable taxes, which are your responsibility
5.3 Automatic Renewal
- Subscriptions automatically renew at the end of each billing period
- You may cancel auto-renewal at any time through your account settings
- Cancellation takes effect at the end of the current billing period
5.4 Free Trials
- Free trials are available for new users on select plans
- We may require payment information to activate a free trial
- Unless canceled, trials automatically convert to paid subscriptions
- We reserve the right to limit free trial eligibility
6. Acceptable Use Policy
6.1 Permitted Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a professional manner consistent with its intended purpose of creating compliant business documentation for financial advisory services.
6.2 Prohibited Activities
You may not:
Legal Violations:
- Violate any applicable local, state, national, or international law
- Violate any third-party rights, including intellectual property, privacy, or contractual rights
- Engage in any fraudulent, deceptive, or misleading activities
Security and System Integrity:
- Attempt to gain unauthorized access to the Service or related systems
- Introduce viruses, malware, or any harmful code
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Bypass any security measures or authentication mechanisms
Service Misuse:
- Use the Service to create false, misleading, or fraudulent financial documentation
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Develop competing products using our Service
- Resell or redistribute the Service without authorization
Content Violations:
- Upload content containing malware, viruses, or harmful code
- Upload content that infringes intellectual property rights
- Upload content that is illegal, defamatory, harassing, or obscene
- Upload personally identifiable information of third parties without proper consent and authorization
7. AI-Generated Content and Outputs
7.1 AI Technology Acknowledgment
You acknowledge and agree that:
- The Service uses artificial intelligence and machine learning technologies (specifically OpenAI's Whisper for transcription and GPT models for text generation)
- AI-generated outputs may contain errors, inaccuracies, or incomplete information
- AI outputs are tools to assist professional judgment, not replace it
- You are solely responsible for reviewing, verifying, and approving all AI-generated content before use
7.2 Professional Responsibility
- You retain full professional responsibility for all documents created using the Service
- You must review all AI-generated content for accuracy, completeness, and compliance with applicable regulations
- We do not provide legal, financial, or professional advice through the Service
- The Service does not guarantee compliance with any specific regulations or standards (including ASIC or other financial regulatory requirements)
Important: As a financial advisor or regulated professional, you bear ultimate responsibility for all client deliverables. AI-generated content is a starting point—always review and verify before sending to clients.
7.3 Output Accuracy
- We do not warrant that AI-generated outputs will be accurate, complete, or error-free
- The Service is provided as a tool to assist with documentation, not as a compliance guarantee
- You must independently verify all information before relying on or distributing it to clients
7.4 Meeting Recording
- You are responsible for obtaining all necessary consents and permissions before recording meetings
- You must comply with all applicable laws regarding recording conversations and meetings
- You are responsible for notifying all meeting participants that the meeting is being recorded
- We are not responsible for your failure to obtain proper consent for recording
Consent Requirement: In Australia and many jurisdictions, recording conversations without consent may be illegal. Always inform meeting participants that recording is taking place before the Reportr bot joins the meeting.
8. Data and Content Ownership
8.1 Your Content
You retain all ownership rights to content you upload, create, or input into the Service ("User Content"), including:
- Meeting recordings and transcripts
- Client information and data
- Documents you upload
- Custom templates
- Financial advisory reports you generate
8.2 License to Reportr
By uploading User Content, you grant Reportr a worldwide, non-exclusive, royalty-free license to:
- Process, store, and transmit your User Content as necessary to provide the Service
- Use aggregated, anonymized data for service improvement and analytics
- Display User Content back to you through the Service interface
This license terminates when you delete User Content or terminate your account, except for:
- Backup copies (retained for 90 days)
- Anonymized data used for analytics (retained indefinitely)
8.3 AI-Generated Outputs
All outputs generated by the Service based on your User Content are assigned to you. We do not claim ownership of AI-generated documents created through your use of the Service.
8.4 Reportr's Intellectual Property
We retain all rights, title, and interest in:
- The Reportr platform, software, and technology
- Our AI integration infrastructure and workflows
- Our trademarks, logos, and branding
- Templates and content we provide (excluding your customizations)
- Service improvements and derivatives
You may not use our intellectual property without explicit written permission.
9. Third-Party Services and Integrations
9.1 Third-Party Services
The Service integrates with third-party services including:
- Google (Google Calendar, Google SSO)
- Microsoft (Microsoft 365 Calendar, Microsoft SSO)
- Zoom (via Recall.ai for meeting recordings)
- Microsoft Teams (via Recall.ai for meeting recordings)
- OpenAI (for transcription and AI text generation)
- Stripe (for payment processing)
9.2 Third-Party Terms
Your use of third-party integrations is subject to those providers' terms of service and privacy policies. We are not responsible for third-party services, their availability, or their practices.
9.3 Authorization and Access
When you connect third-party services:
- You authorize us to access data from those services as described in our Privacy Policy
- You represent that you have authority to grant such access
- You may revoke access at any time through your account settings
- We will only access data necessary to provide the Service features you enable
9.4 Google API Services Compliance
Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
9.5 Meeting Recording Service
We use Recall.ai to automate meeting recording and transcription. When you enable this feature:
- A bot will join your meetings to record audio
- You are responsible for notifying meeting participants of the recording
- You must comply with all applicable recording consent laws
- Recording data is processed according to our Privacy Policy and Recall.ai's privacy policy
10. Data Privacy and Security
10.1 Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.
10.2 Data Security
We implement industry-standard security measures including:
- AES-256 encryption for data at rest
- TLS 1.2/1.3 for data in transit
- Regular security audits and monitoring
- Access controls and authentication
- Cloud infrastructure hosted on Microsoft Azure in Australia
10.3 Data Processing
We process your data solely to provide the Service as described in our Privacy Policy. We do not sell your personal information to third parties.
10.4 AI Provider Data Handling
Zero Data Retention Policy
We've configured our enterprise OpenAI integration to protect your client data. Your meeting transcripts and client information are processed transiently and never stored by our AI partners.
We have configured our enterprise API integration with OpenAI to ensure your data privacy:
- Transient Processing Only: Your meeting transcripts, client information, and content are processed by OpenAI solely to provide service functionality (transcription and report generation)
- No Data Storage: Your data is not stored by OpenAI after processing is complete
- No Model Training: Your data is not used to train or improve OpenAI's models
- Real-Time Processing: Data is processed in real-time to generate outputs and is immediately discarded by our AI partners thereafter
This means your sensitive client information is processed only to deliver the specific service you request and is not retained in OpenAI's systems.
Your Acknowledgment: By using the Service, you acknowledge that:
- Your data will be temporarily processed by OpenAI to provide AI-powered transcription and report generation
- This processing is transient and your data is not stored by our AI partners
- You remain responsible for ensuring you have appropriate consent and authorization to process your clients' information through AI services
11. Limitation of Liability
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
11.2 No Warranty
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The Service will meet your specific requirements
- AI-generated outputs will be accurate, complete, or compliant with regulatory requirements
- Meeting recordings will be captured successfully in all circumstances
- Transcriptions will be 100% accurate
- Defects will be corrected
- The Service is free from viruses or harmful components
11.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the 12 months preceding the claim, or
- $100 AUD
11.4 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Errors or inaccuracies in AI-generated content or transcriptions
- Failed meeting recordings or incomplete transcripts
- Actions or omissions of third-party service providers (including OpenAI, Recall.ai, Google, Microsoft, Stripe)
- Your reliance on AI-generated outputs without independent verification
- Your failure to obtain proper consent before recording meetings
11.5 Professional Liability
YOU ACKNOWLEDGE THAT:
- We do not provide professional financial advice (legal, financial, or otherwise)
- You are solely responsible for compliance with professional regulations (including ASIC requirements for financial advisors in Australia)
- You must independently verify all AI-generated content before using it in client communications
- Professional liability for your client deliverables remains with you
- You are responsible for ensuring all meeting recordings comply with applicable consent laws
12. Indemnification
You agree to indemnify, defend, and hold harmless Reportr, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your User Content or use of the Service
- Your professional services provided to clients
- Inaccuracies in your client documentation
- Your failure to obtain proper consent before recording meetings
- Unauthorized access to your account due to your failure to protect credentials
- Your reliance on AI-generated content without proper verification
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through account settings
- Contacting our support team at info@reportr.ai
- Ceasing to use the Service
Upon termination:
- Your access to the Service ends immediately
- No refunds will be provided for unused subscription time
- Your User Content will be retained for 90 days for retrieval, then permanently deleted
13.2 Termination by Us
We may suspend or terminate your access immediately if:
- You breach these Terms
- You engage in prohibited activities
- Your account is inactive for more than 12 months (free tier)
- Required by law or regulatory authority
- We discontinue the Service (with 30 days' notice)
13.3 Effect of Termination
Upon termination:
- All licenses granted to you immediately cease
- You must stop using the Service
- Provisions that by nature should survive (liability limitations, indemnification, dispute resolution) continue in effect
13.4 Data Retrieval
You may export your User Content within 90 days of termination. After 90 days, we may permanently delete your data.
14. Changes to Terms
How we notify you of changes
We'll email you if we make material changes to these Terms. Continued use after 30 days means you accept the updated Terms.
14.1 Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Sending email notification to your registered address
- Displaying an in-app notification
14.2 Acceptance of Changes
- Changes take effect 30 days after notification
- Continued use of the Service after changes take effect constitutes acceptance
- If you do not agree to changes, you must discontinue use and may terminate your account
14.3 Material Changes
For material changes that reduce your rights or increase your obligations, we will obtain your explicit consent before the changes apply to you.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
15.2 Informal Resolution
Before filing a claim, you agree to contact us at info@reportr.ai to attempt informal resolution. We will work in good faith to resolve disputes amicably.
15.3 Jurisdiction
Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Both parties submit to the jurisdiction of such courts and waive any objection to venue in those courts.
15.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions or representative actions to the extent permitted by Australian law.
15.5 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reportr regarding the Service.
16.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full effect.
16.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.
16.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (including failures of third-party AI services, cloud infrastructure, or meeting recording services).
16.6 No Agency
These Terms do not create any agency, partnership, or joint venture relationship.
